These Terms of Service ("Terms") govern your access to and use of the AXXIS Capital website and any content, tools, or materials made available through it (the "Site"). The Site is operated by AXXIS Capital ("AXXIS," "we," "us," or "our"). Please read these Terms carefully before using the Site.

Acceptance of these terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Disclosures, which are incorporated here by reference. If you do not agree with any part of these Terms, you should not use the Site.

Informational purpose only, not an offer

The Site is provided for general informational purposes only. Nothing on the Site constitutes, or is intended to constitute, an offer to sell, or a solicitation of an offer to buy, any security or investment product, in any jurisdiction where such an offer or solicitation would be unlawful. Any offer of securities by AXXIS or its affiliates will be made only through definitive offering documents, including a confidential private placement memorandum, an operating or partnership agreement, and a subscription agreement, furnished to eligible investors in accordance with applicable law.

Eligibility

The investment opportunities referenced on the Site are generally available only to accredited investors who meet the applicable eligibility requirements. By using the Site in connection with a potential investment, you represent that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that any information you provide about your investor status is accurate. Nothing on the Site should be read as a representation that any investment is suitable for you.

No investment, tax, or legal advice

The content on the Site is not investment, tax, legal, or accounting advice and should not be relied upon as such. AXXIS is not acting as your fiduciary or adviser by making the Site available to you. You should consult your own qualified professional advisers before making any investment decision, and you are solely responsible for evaluating the merits and risks of any investment.

All content on the Site, including text, graphics, logos, photographs, icons, and the AXXIS Capital name and marks, is owned by or licensed to AXXIS and is protected by copyright, trademark, and other intellectual property laws. You may view and print Site content for your own personal, non-commercial reference. You may not copy, reproduce, distribute, modify, publish, or create derivative works from any part of the Site without our prior written consent.

The Site may contain links to third-party websites and resources, including our investor portal, that are not operated or controlled by AXXIS. We provide these links for convenience only. We do not endorse and are not responsible for the content, products, services, or practices of any third-party site, and your use of those sites is governed by their own terms and policies.

Disclaimer of warranties

The Site and all content on it are provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, AXXIS disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Site or its servers are free of harmful components.

Limitation of liability

To the fullest extent permitted by law, AXXIS and its members, managers, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless AXXIS and its members, managers, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing law

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Hawaii, without regard to its conflict of law principles. You agree that the state and federal courts located in the State of Hawaii will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts.
